Recent Developments
| Date | Development | Impact |
|---|---|---|
| Chief Revenue Officer change Mike Rich steps down as CRO for personal reasons effective 1 October and stays as an adviser to 31 December; Ross Tackett, head of worldwide sales for three years, becomes CRO. No change to guidance was announced. The shares fell 10.1% the next day. Reading: The third senior sales change of 2026, during a growth reset. Guidance already assumes a first-half sales transition, so the earnings effect is small (our failure case cuts FY28 EPS by about $0.32), but the risk sits in the multiple. It widens the bear case and lowers the price of interest to $160; it does not change the verdict. | High | |
| Q4 FY26 results and FY27 guidance Q4 revenue $898.2m (+25%), ARR $3.77bn (+25%), net new ARR $246m ($232m ex-Red Canary, +17%). FY27 revenue guided at $3.908-3.938bn and ARR at $4.396-4.426bn, both about +17%; non-GAAP EPS $4.86-4.90; FCF margin 23-23.5%; 3% workforce restructuring. Reading: Confirms the deceleration first signalled in May. Net retention steady at 115% and record margins show the franchise is intact; deferred revenue growing slower than revenue and elevated capex keep the guide cautious. | High | |
| Agentic SOC launch Generally available; combines Red Canary managed detection and response with Zscaler telemetry and AI agents built with frontier AI labs including Anthropic and OpenAI. Pricing not disclosed. Reading: The vehicle for monetising Red Canary, which management expects to add no net new ARR in FY27. Upside optionality rather than part of the base case. | Medium | |
| Z-Flex purchasing model Over $770m of total contract value in Q4, up more than 60% sequentially. Reading: Makes it easier for customers to adopt new modules; supports net retention. | Medium | |
| Security for AI product launches AI Broker, Endpoint AI Security, AI Access Graph and AI Protect updates launched at Zenith Live. Q4 Security for AI bookings rose more than 50% sequentially; pipeline rose 75%. Reading: The clearest route to re-acceleration, but the contribution to guidance is not quantified. | Medium |

| Dilution from stock-based compensation | High | Medium | Stock pay was 24.5% of FY26 revenue and exceeded free cash flow. |
| Platform consolidation favours Palo Alto and Microsoft | Medium | Medium | The largest deals are where share is contested. |
| Long-term interest rates | Medium | Medium | The 10-year Treasury near 5.1% weighs on long-duration growth stocks. |

Scenario Analysis
| Case | Probability | Fair Value | Outlook |
|---|---|---|---|
| Bull | 25% | $246 | AI security and Z-Flex lift net new ARR; revenue growth returns to about 20% in FY28 (about $4.71bn); 8.5x FY28 revenue. |
| Base | 50% | $185 | Guidance met with the usual modest beat; FY28 revenue up about 16% to $4.55bn; 6.5x FY28 revenue. |
| Bear | 25% | $129 | Sales turnover costs two to three quarters of pipeline; growth slips to about 12% (FY28 revenue $4.39bn); 4.5x. |
The Case
Zscaler is a high-quality security platform in a growth reset. FY26 revenue rose 25% to $3.35bn with 80% gross margin and 115% net retention, but FY27 is guided to about 17%, and the organic pace was already near that level in Q4. At $193.05 the stock trades at 7.6x FY27 revenue and 40x guided EPS, cheap against peers but close to the probability-weighted value of $186 once $822m of stock pay, more than FY26 free cash flow, is treated as a cost. The CRO change of 24 September, the third senior sales change this year, does not alter the verdict but widens the bear case. Watchlist, with interest near $160.
