Investment Scorecard
Composite score 56.6/100 (previous 52). Every factor is scored out of 10, ten always being the best outcome, including for risk.
| Factor | Score | Weight | Change | Basis |
|---|---|---|---|---|
| Business Quality | 6/10 | 12% | unch. | Unchanged. Reserve income is still about 95% of revenue; five-year Binance distribution adds durability and a fee. |
| Financial Strength | 7/10 | 10% | unch. | Unchanged. $1.73bn of cash, negligible debt, plus $100m of new equity from Binance. |
| Competitive Advantage | 7/10 | 14% | unch. | Unchanged. A second exchange tied in as distributor and shareholder offsets Tether's depth only gradually. |
| Management | 7/10 | 8% | -1 | Cut from 8. The CFO leaves by 31 December with no successor named, and a co-founder left the board the same day. |
| Growth Potential | 6/10 | 13% | +1 | Raised from 5. Circulation has risen since June and Binance distribution is secured for five years. |
| Valuation | 5/10 | 20% | +1 | Raised from 4. About 34x annualised Q2 EBITDA but 30x the base run-rate; price about 9% below weighted value. |
| Risk (10 = lowest risk) | 4/10 | 18% | +1 | Raised from 3. The float-drain risk has eased on weekly data; leadership and policy risk remain high. |
| Technical Setup | 4/10 | 5% | unch. | Unchanged. Below the 20-, 100- and 200-day averages, above the 50-day; death cross narrowing. |
Recent Developments
| Date | Development | Impact |
|---|---|---|
| Binance invests $100m and renews USDC promotion arrangements for five years Signed 17 September (Form 8-K, Item 8.01). Binance bought 1,237,011 Class A shares at $80.84 ($100m, a 5% discount), with a lock-up of up to two years. Circle pays Binance a monthly incentive fee equal to an undisclosed percentage of USDC held through its Modular Smart Contract Wallet infrastructure; replaces the November 2024 and August 2025 arrangements; either side may terminate early on specified events. Reading: Ties the largest exchange to USDC as distributor and shareholder, which supports the float, but the fee rate is undisclosed. Own sizing: +$0.10 EPS if it adds $3bn of float at 30% retention, -$0.04 if the fee rises with no float response. Lifts the weighted value by about $2.20 and moves Growth Potential; does not change the verdict. | High | |
| Volante integrates USDC workflows into its bank payments platform Minting, redemption, wallet registration and payment execution for Volante's bank clients, linked to the Circle Payments Network and Arc. No terms, volumes or dates. Reading: A route into large-bank payment systems, but only a test capability so far. | Medium | |
| CFO transition and co-founder leaves the board Jeremy Fox-Geen steps down as CFO by 31 December 2026 or on a successor's appointment; search under way. Co-founder P. Sean Neville resigned as a director; board reduced to seven (Form 8-K, Items 5.02 and 7.01). Reading: Matters for timing: a new finance chief will own 2027 guidance and Arc and Tazapay costs. Management score cut to 7. | Medium | |
| Arc mainnet live Founding validators include BlackRock, DTCC, ICE, Mastercard, Standard Chartered and Visa; 100+ builders live; 10bn ARC tokens minted with no commitment to a public launch; network fees paid in USDC. 21X joined as a launch partner on 1 October. Reading: Execution delivered; still no Circle revenue line disclosed. | Medium | |
| Tazapay acquisition Over $25bn annualised payment volume, 60+ partners, payout rails in 100+ markets; close expected in 2027 subject to approvals. Price reported at $400m in stock; not in the company release. Reading: Right axis (owned payments capability) but reportedly about 2% dilution and no disclosed revenue. | Medium |
Key Risks
| Risk | Probability | Severity | Comment |
|---|---|---|---|
| Valuation compression | High | High | About 30x base run-rate EBITDA on a revenue line that is a yield; a turn in the rate cycle would hit both earnings and multiple. |
| Circulation contraction resumes | Medium-low | High | Weekly data show growth since June, but one quarter of recovery does not establish a trend against Tether and tokenised money funds. |
| Regulatory timetable slips further | Elevated | High | No Senate passage since the 15 September cloture failure. |
| Distribution costs outrun float growth | Medium | Medium | Binance fee rate undisclosed; a rising cost ratio would offset the rate tailwind. |
| Leadership transition | Medium | Medium | CFO leaves by 31 December with no successor named; co-founder off the board. |
| Arc fails to monetise | Medium | Medium | Network fees are paid in USDC; no Circle revenue line disclosed. |
| Share price volatility | Occurring | Medium | 7.2% average true range; short interest 10.65% of float. |
| Dilution from acquisitions | Medium | Low | Tazapay reportedly paid in stock (~2% at current prices) on closing in 2027. |
Scenario Analysis
| Case | Probability | Fair Value | Outlook |
|---|---|---|---|
| Bull | 30% | $133.34 | Circulation grows through Binance (success case) and bank rails; rates hold or rise; RLDC margin holds. Run-rate adjusted EBITDA about $850m at 38x. |
| Base | 50% | $83.16 | Float grows modestly from about $75bn; one more hike or none; margin near 41%; Binance balances maintained; Arc and Tazapay immaterial in 2027. Run-rate adjusted EBITDA about $650m at 30x. |
| Bear | 20% | $45.53 | Float shrinks again as tokenised money funds and USDT take balances (Binance failure case); rates turn lower. Run-rate adjusted EBITDA about $450m at 22x. |
The Case
Circulation has risen to about $75.2bn from $73.3bn at the end of June, the Fed has raised rates and Binance has committed to promoting USDC for five years, so both halves of Circle's float-times-yield revenue are moving the right way. At $82.91 the shares already sit on the base-case value of $83.16, so the margin of safety comes only from the bull case, with a CFO leaving and Q3 results about six weeks away. A move to $75, or a Q3 report confirming sequential float growth with the margin intact, would justify a position.
